PMCK Berhad has entered into a conditional agreement to acquire medical consumable suppliers Marpoliq and Derberg for RM52.77 million in cash. The deal marks a strategic diversification into the import and distribution of medical products, backed by profit guarantees.

MALAYSIA —PMCK Berhad has signed a conditional share sale agreement to acquire 100% equity interest in Marpoliq Sdn Bhd and Derberg Sdn Bhd for a total cash consideration of RM52.77 million. The transaction structure includes an initial 10% deposit, followed by a balance payment of RM41.49 million within 30 days of the agreement becoming unconditional. An additional RM6 million portion is tied to performance milestones across the next two financial years. To ensure operational continuity, key management personnel from the target entities will enter into service agreements to oversee business execution throughout the profit guarantee period.

This strategic move enables PMCK to diversify its core healthcare portfolio beyond direct hospital and clinical operations into the broader healthcare supply chain. Marpoliq and Derberg specialize in importing and distributing medical consumable products in Malaysia, generating a combined normalized profit after tax of RM6.36 million for the financial year ended March 31, 2026. The acquisition valuation represents an adjusted price-to-earnings multiple of 7.18 times and an enterprise value to EBITDA multiple of 4.88 times, reflecting an attractive entry valuation relative to listed regional peers.

The integration of medical consumable sourcing directly aligns with PMCK's strategy to capture vertical synergies, optimize procurement across its healthcare network, and tap into growing regional demand for disposable medical goods. By securing an established distribution platform, PMCK positions itself to diversify revenue streams away from pure facility-based care while capturing higher-margin trading opportunities across institutional healthcare clients.
