Under the terms of the proposed share purchase agreement, Purebread Brands will acquire all issued and outstanding shares of the target entities in exchange for issuing consideration shares equal to 49.0% of the combined post-closing share capital. Based on current share counts, the transaction valuation stands at approximately 7.7 million Canadian dollars (5.7 million US dollars), representing the issuance of roughly 61.6 million common shares at an implied price of 0.125 Canadian dollars per share.
