CANADA —Cybersecurity developer Quantum eMotion has agreed to acquire Plurilock Security in a transaction valued at approximately CAD 33.8 million, combining quantum encryption hardware with artificial intelligence-driven identity technologies. Under the definitive arrangement agreement, Plurilock shareholders will receive CAD 0.084 in cash alongside 0.0763 Quantum eMotion common shares per individual equity holding. The total consideration equates to CAD 0.28 per share, reflecting a 100 percent premium over Plurilock's recent 20-day volume-weighted average trading price on the TSX Venture Exchange. Upon completion of the court-approved plan of arrangement, existing Quantum eMotion shareholders will retain approximately 95.97 percent ownership of the combined entity, while former Plurilock investors will hold roughly 4.03 percent. To support transaction-related expenditures and ongoing operational requirements prior to closing, Quantum eMotion is extending a CAD 2 million secured credit facility to Plurilock at an annual interest rate of 8.5 percent.
This transaction addresses a critical commercial challenge for early-stage quantum cryptography vendors: bridging the gap between hardware engineering and enterprise distribution. While Quantum eMotion has focused on advancing quantum entropy generation and cryptographic hardware modules through rigorous North American compliance frameworks, Plurilock brings established public-sector contracting channels, regulatory credentials, and active commercial relationships across defense, government, and enterprise domains. By absorbing Plurilock's operational footprint, Quantum eMotion bypasses years of direct sales development, securing immediate access to procurement vehicles across Canada, the United States, and NATO partners.
The combined entity will target public-sector agencies, defense contractors, financial institutions, and critical infrastructure operators seeking multi-layered protection against post-quantum cryptographic vulnerabilities and identity threats. Integration plans focus on embedding continuous artificial intelligence risk assessment and behavioral biometrics into quantum-resistant cryptographic systems, creating an ecosystem capable of automated access controls, dynamic key management, and instant session termination. The enterprise profile of Quantum eMotion includes a specialized developer of quantum random number generators and entropy technologies headquartered in Canada. Plurilock Security operates as an identity-centric cybersecurity vendor and IT solutions provider, supplying behavioral biometric authentication and managed security services to institutional clients.
For institutional investors and cybersecurity market participants, the acquisition highlights accelerating consolidation at the intersection of post-quantum cryptography and identity management. As defense and government sectors mandate post-quantum security standards, vendors offering unified platforms that pair quantum hardware protection with continuous risk detection gain distinct competitive advantages over single-point security providers. Subject to shareholder approval, court sanction, and regulatory clearances, the transaction is expected to close in late 2026, leading to the delisting of Plurilock shares from public exchanges.
