Ram Ratna Wires has agreed to acquire the remaining 50% stake in joint venture Epavo Electricals from Epack Durable for INR 150 million in cash. This transaction elevates Epavo to a wholly owned subsidiary, aligning corporate control with existing operational responsibilities.

INDIA —Ram Ratna Wires has finalized an agreement to purchase the remaining 50% equity stake in Epavo Electricals from its joint venture partner, Epack Durable. Valued at INR 150 million, the all-cash transaction involves acquiring 22.126 million shares at INR 6.78 apiece. Established in 2020 on a 50:50 ownership basis, Epavo specializes in the production of brushless direct current motors and air-movement solutions. Ram Ratna Wires has historically managed the day-to-day operations of the joint venture, making the complete buyout a natural progression of its management structure.

Headquartered in India, Ram Ratna Wires operates in the electrical manufacturing sector, focusing on winding wires and related industrial components. Epack Durable is a manufacturing entity involved in diverse consumer and industrial appliance segments. The consolidation allows Ram Ratna Wires to secure 100% ownership of Epavo, transforming the joint venture into a wholly owned subsidiary by the anticipated closing date of November 30, 2026. Because Epack Durable holds no relation to the promoter group of the acquiring firm, the transaction is structured as an arm's length deal without related-party complications.

This structural consolidation holds strategic significance for industrial manufacturing and component supply chains within the electrical sector. Brushless direct current motors represent a critical downstream application for winding wires, which serve as the core product line of Ram Ratna Wires. By absorbing the entirety of Epavo, the parent enterprise deepens its vertical integration within the electric motor value chain. This move enables the organization to streamline decision-making, direct capital investments independently, and accelerate product development cycles without joint venture friction.

For market participants and institutional investors, the transaction underscores a broader corporate trend toward consolidating joint ventures to achieve tighter operational synergies. Epavo recorded a turnover of INR 25.40 million for the 2025-2026 fiscal period, reflecting stable commercial standing despite prior year fluctuations. By executing this buyout, Ram Ratna Wires positions itself to capture higher value-add margins from downstream electrical components, insulating its manufacturing ecosystem and reinforcing its competitive positioning in motor technologies.
