UNITED STATES OF AMERICA —Iridium Communications stockholders have formally voted to approve the strategic merger agreement with Rocket Lab Corporation. Approximately 99.6% of votes cast supported the transaction, representing around 81% of total outstanding shares. The deal delivers $27.00 in cash alongside stock based on an exchange ratio with a collar, establishing a transaction notion value of $54.00 per share for Iridium common stock.

This consolidation brings together two major space sector participants. Rocket Lab provides commercial, government, and defense customers with end-to-end space systems, component manufacturing, and orbital launch capabilities through its Electron rocket and next-generation Neutron vehicle. Iridium Communications operates a global low-Earth orbit satellite network that delivers mobile voice, data transmission, aircraft surveillance, and positioning services.

The acquisition establishes an integrated space infrastructure provider capable of controlling both launch logistics and orbital network operations. Combining proprietary launch systems with established satellite infrastructure allows the merged entity to reduce operational overhead, accelerate deployment timelines for direct-to-device connectivity, and offer unified satellite services to government and commercial clients globally.
