R R Kabel Limited has secured board approval to acquire the optical fibre cable division of U M Cables Limited for INR 770 million. The slump sale transaction grants RR Kabel immediate manufacturing capacity and regulatory approvals, accelerating its expansion into communication infrastructure.

INDIA —R R Kabel Limited has agreed to purchase the optical fibre cable business undertaking of U M Cables Limited, a wholly-owned subsidiary of Usha Martin Limited. Under the terms of the agreement, the transaction will be executed via a slump sale on a going concern basis for a total lump-sum cash consideration of INR 770 million. R R Kabel Limited, a major Indian consumer electrical enterprise operating across 66 countries, specializes in residential, commercial, and industrial electrical solutions and stands as one of India's largest exporters of wires and cables.

This strategic transaction provides RR Kabel with immediate entry into the Optical Fibre Cable (OFC) segment, diversifying its core product offering beyond conventional power cables and consumer electricals. Acquiring an operational business unit delivers ready-to-use manufacturing infrastructure, pre-existing regulatory approvals, and an established commercial track record. This strategic route significantly compresses the time-to-market compared to developing specialized optical fibre manufacturing facilities organically.

The integration of optical fibre manufacturing aligns with broader market demands driven by telecom network expansions, 5G infrastructure rollouts, and growing data center connectivity needs. By expanding into communication cables, RR Kabel positions itself to tap into public and private telecommunications infrastructure projects across domestic and international markets.

For investors and industry participants, the acquisition underscores a capital-efficient expansion strategy within the wire and cable sector. Utilizing existing operational assets enables RR Kabel to leverage its established global distribution channels, corporate scale, and customer relationships to rapidly commercialize its new product division without incurring long gestation delays.
