UNITED STATES OF AMERICA —Data center service provider Salute has signed a definitive agreement to acquire T5 Operations, the facility management and mission-critical operations division of T5 Data Centers. Following regulatory approvals and customary closing conditions, the deal will combine T5 Operations' facility management expertise with Salute's specialized direct-to-chip liquid cooling capabilities. Upon completion, the combined entity will manage more than 15 gigawatts of data center capacity across 150 global markets, employing over 3,800 workers. As part of the corporate restructuring, T5 Data Centers' construction unit will split into an independent entity named EverOn Data Center Services, focusing exclusively on digital infrastructure construction while pursuing a strategic partnership with Salute. Simpson Thacher & Bartlett LLP acted as legal advisor to Salute, while Lazard served as financial advisor and King & Spalding LLP acted as legal counsel for T5 Operations.
