CHINA; MALAYSIA —Scientex Packaging (Ayer Keroh) Berhad, a wholly-owned subsidiary of Malaysian packaging producer Scientex Berhad, has entered into a definitive sale and purchase agreement to acquire a 70% equity interest in China-based flexible packaging producer Hunan Changcheng Mint New Material Technology Co., Ltd. for RMB167.3 million. Under the terms of the transaction, founder Ms. Tan Cui Fang will exit her direct majority shareholding, while holding entity Hunan Changcheng Tianyi Information Technology Co., Ltd. will retain the remaining 30% stake upon closing, which is targeted for the end of 2026.
Scientex Berhad is a Malaysia-headquartered regional packaging manufacturer and property developer specializing in flexible plastic packaging products, including stretch films, custom films, and converted bags. Target entity Hunan Changcheng Mint New Material Technology, established in 2015 and based in Xiangtan, Hunan Province, specializes in technical flexible packaging solutions such as high-grade flexible plastic bags, roll films, and specialized long-lifetime anti-static packaging solutions.
The strategic acquisition provides Scientex with an established local production facility and distribution ecosystem inside mainland China. By consolidating Hunan Changcheng Mint's existing manufacturing assets and client relationships, Scientex enhances its overall production capacity while securing direct exposure to China's domestic industrial and consumer packaging markets. The transaction will be funded through a mix of internally generated capital and existing commercial bank loans.
This cross-border expansion highlights ongoing regional consolidation within Asia's flexible packaging supply chain, as market leaders seek localized manufacturing capabilities to serve multinational clients and mitigate supply disruptions.
