Select Water Solutions has agreed to purchase Pilot Water Solutions for 700 million USD in cash and stock. The transaction expands Select's water infrastructure assets in the Delaware Basin, boosting contracted long-term revenues and pro forma water handling capacity across the Permian region.

UNITED STATES OF AMERICA —Energy infrastructure firm Select Water Solutions has entered into a definitive agreement to acquire private midstream operator Pilot Water Solutions in a transaction valued at $700 million, alongside potential performance-based add-ons. Under the deal framework, the buyer will deploy $600 million in cash funding paired with $100 million in Class A common equity, with an additional $15 million contingent cash consideration tied to early 2027 operational metrics. Financing for the cash component is backed by debt commitments from major banking institutions. The transaction is slated to close during the fourth quarter of 2026, contingent upon standard regulatory clearances and antitrust approval.

Select Water Solutions provides sustainable water handling and chemical treatment services to the upstream energy sector across major onshore producing basins in the United States. Target entity Pilot Water Solutions operates extensive water midstream assets across Texas and New Mexico, controlling approximately 2.7 million barrels daily of active permitted disposal capacity alongside 700 miles of specialized transport pipelines.

Integrating Pilot Water's midstream network significantly scales Select's operational reach across the Delaware Basin. The combination merges complementary pipeline networks and disposal capacity with established recycling facilities, creating a unified network capable of handling more than 2.5 million barrels per day of produced water by 2027. Pilot Water brings over 80% long-term contracted revenues backed by substantial minimum volume commitments and dedicated acreage agreements, providing long-term visibility into midstream cash flows.

This consolidation reflects a continuing structural shift within onshore oil and gas operations toward scaled, third-party water midstream networks. Escalating produced water volumes in high-activity regions like the Permian Basin necessitate integrated infrastructure capable of balancing fluid management, expanded recycling, and compliance with stringent environmental standards. The transition reduces operator reliance on trucking and isolated disposal wells, optimizing field logistics for exploration and production firms.

For energy sector investors and market participants, the expansion aligns with corporate strategies focused on recurring, infrastructure-driven cash flows over volatile completion activity. The pro forma entity expects its water infrastructure segment to drive nearly 70% of consolidated earnings by 2027. Strategic benefits include an estimated $10 million to $15 million in annual cost synergies, improved capital efficiency, and enhanced water recycling capabilities across primary shale plays.
