ShaMaran Petroleum Ltd. is expanding its operational footprint into Federal Iraq through a 25% stake in the Hamrin oil development and production contract alongside HKN Energy. Simultaneously, the energy firm has initiated a debt restructuring plan involving a bond of up to $200 million to optimize its capital structure and fund ongoing growth initiatives.

BERMUDA; IRAQ —ShaMaran Petroleum Ltd. has extended its operational footprint into Federal Iraq through a strategic partnership with HKN Energy. Under this arrangement, the firm has acquired a 25% shareholding in the joint venture managing the Hamrin oil development and production contract, expanding its geographical scope beyond existing operations in the Kurdistan Region of Iraq. The Hamrin field, previously overseen by an Iraqi state-owned entity, currently produces 20 Mbopd, with operational plans targeting an increase to approximately 60 Mbopd by 2028. The initial venture structure involves a financial carry mechanism and future cash flow considerations to support the long-term asset development.

Concurrently, the organization has initiated financial restructuring measures designed to optimize its capital structure and support asset expansion. Management has mandated Pareto Securities AS to manage a proposed bond offering of up to $200 million. Proceeds from this financial instrument are intended to refinance existing debt obligations, specifically targeting the redemption of the outstanding 2029 bond instrument, while simultaneously securing capital for operational expenditures tied to the Hamrin asset. This restructuring coincides with a parallel agreement to combine businesses with Gulf Keystone Petroleum Ltd., establishing an integrated corporate platform across regional energy markets.

The strategic alignment underscores a broader industry shift toward portfolio consolidation and asset diversification within Middle Eastern upstream energy sectors. By integrating federal and regional assets under a unified operational team, the stakeholders aim to capture operational efficiencies and leverage existing infrastructure. For capital markets and investors, the transaction reflects evolving risk profiles in regional resource extraction, where improved commercial frameworks and alignment with local regulatory structures are increasingly vital for securing long-term capital and debt financing.

ShaMaran Petroleum Ltd. is an independent upstream oil and gas enterprise holding non-operated working interests across multiple production blocks in Iraq and participating in international capital markets. HKN Energy operates international oil and gas assets with a focus on regional resource development and cooperative extraction ventures. Gulf Keystone Petroleum Ltd. is an independent oil producer engaged in exploration and development activities within the region.
