KOREA (SOUTH) —Shinhan Financial Group has entered into a definitive agreement to acquire a 77.04 percent stake in Lotte Insurance from private equity firm JKL Partners for 693.3 billion won. Following regulatory approval, the banking group plans to buy out the remaining equity and integrate the firm with its subsidiary, Shinhan EZ General Insurance. Established in 1982, Shinhan Financial Group is one of South Korea's largest financial holdings companies, providing banking, credit card, investment, and insurance services across domestic and international markets.
The strategic transaction addresses Shinhan's ongoing challenge to achieve scale in its non-life segment. Shinhan EZ, created in 2022 following the buyout of BNP Paribas Cardif General Insurance, generated a net loss of 18.2 billion won in the first half of the year and possessed a contractual service margin, a indicator of future profitability of 600 million won at the end of June. In comparison, Lotte Insurance brings a contractual service margin of 2.2 trillion won and a customer base of roughly 3.34 million, providing significant commercial distribution opportunities through Shinhan's cross-selling and digital channels.
For the broader domestic financial sector, the transaction brings closure to a divestment process initiated in 2023, after JKL Partners acquired controlling ownership in 2019. The outcome highlights a valuation adjustment from earlier price expectations, which previously exceeded 2 trillion won. However, the transaction presents capital management requirements for Shinhan. Lotte Insurance operates under a conditionally approved financial improvement plan, having reported a core capital ratio under the Korean Insurance Capital Standard of minus 5.4 percent as of June, despite generating 3.1 billion won in operating profit during the second quarter.
To navigate regulatory shifts, Shinhan intends to execute a capital injection to bolster Lotte Insurance's capital structure prior to the implementation of stricter core capital standards next year. Existing policy terms and client administration will remain unchanged as Shinhan leverage its balance sheet and risk management framework to consolidate market share within the competitive domestic non-life market.
