Silgan Holdings and American Industrial Partners are forming a joint venture to acquire Trivium Packaging, creating a $7.3 billion global metal packaging entity. Silgan will retain a 60 percent controlling stake while receiving $2.3 billion in cash proceeds, aiming to drive operational synergies and streamline its corporate portfolio.

NETHERLANDS; UNITED STATES OF AMERICA —Silgan Holdings and American Industrial Partners have agreed to form a joint venture aimed at acquiring Netherlands-based Trivium Packaging. The transaction values the target at approximately $3.4 billion in enterprise value. Under the agreement, Silgan will contribute its metal containers and food and beverage flat cap closures divisions to the new entity, named Silgan Metal Containers and Closures. Silgan will retain a 60 percent controlling ownership stake, while American Industrial Partners will hold the remaining 40 percent and inject roughly $1.0 billion in cash equity. This strategic realignment will generate $2.3 billion in cash proceeds for Silgan, which the company intends to use for debt reduction and future capital allocation.

This development matters because it fundamentally restructures the global metal packaging landscape, creating a combined enterprise valued at $7.3 billion. By merging complementary geographic footprints across North America and Europe, the partnership addresses growing demand for sustainable, recyclable packaging in the food and beverage sectors. Stakeholders, including institutional investors and supply chain partners, will benefit from the enhanced scale and the projected $225 million in operational and procurement synergies anticipated within three years.

The packaging industry is currently undergoing significant consolidation as manufacturers seek to offset volatile raw material costs and meet stringent environmental regulations. This joint venture positions the combined entity to champion circular economy initiatives while driving down supply chain expenses. Competitors in the rigid packaging space may face increased pressure to pursue similar strategic alliances to maintain market share and pricing power in essential consumer goods markets.

For Silgan, the transaction provides substantial financial flexibility. The remaining wholly owned operations, rebranded as Silgan Dispensing Solutions, will focus on premium specialty markets with improved balance sheet strength. The deal is expected to be at least 15 percent accretive to adjusted earnings per share once full run-rate synergies are realized. The closure is projected for mid-2027, pending standard regulatory clearances and works council consultations.

Silgan Holdings is a major global supplier of rigid packaging solutions, operating more than 120 manufacturing facilities worldwide. Trivium Packaging is a specialized manufacturer of recyclable metal containers, employing thousands of workers across dozens of international locations to serve leading consumer brands.
