INDIA; SOUTH AFRICA —Solar SA Investments Proprietary Limited, an indirect subsidiary of India-based explosives manufacturer Solar Industries India Limited, has entered into definitive agreements to acquire all outstanding shares of South Africa's Omnia Holdings Limited. The all-cash transaction values the Johannesburg Stock Exchange-listed firm at approximately USD 1.355 billion. Solar Group is a Nagpur-headquartered producer of industrial explosives and initiating systems operating across multiple sectors including mining, infrastructure, and defence. Omnia Holdings is a South Africa-based diversified chemicals group specializing in mining solutions, commercial explosives, and science-based crop nutrition across international markets.
The acquisition significantly scales up the buyer's global footprint by integrating Omnia's extensive manufacturing and distribution infrastructure. Operating across 23 countries with over 70 distribution hubs, Omnia generated around USD 1.41 billion in revenue for the financial year ended March 31, 2026. The combination merges Omnia's mining explosives arm, operating under the BME brand, and its sustainable agriculture division with Solar Group's established initiating systems and technology platform. A primary driver of the deal is securing Omnia's regional ammonium nitrate and nitric acid manufacturing assets, alongside recently expanded storage capacity, ensuring vertical integration and raw material security across the explosives value chain.
The deal impacts commercial explosives, mining services, and chemical fertilizers across Africa, Australia, North America, Latin America, and Southeast Asia. By integrating upstream chemical manufacturing with downstream blasting services, the combined entity aims to strengthen supply chain resilience and enhance cost competitiveness for global mining operators. Additionally, entry into biological solutions and crop nutrition broadens the group's presence in sustainable agriculture, mitigating single-sector market exposures.
