Sun Pharma to acquire Organon in $11.75bn all-cash outbound deal

Sun Pharmaceutical Industries has signed a definitive agreement to acquire US-based Organon & Co for $11.75 billion in an all-cash transaction, marking one of the largest outbound deals by an Indian drugmaker, with closing expected in early 2027.

Sun Pharmaceutical Industries Ltd has signed a definitive agreement to acquire all outstanding shares of US-listed Organon & Co for $14 per share, valuing the transaction at $11.75 billion, according to official disclosures. The all-cash deal, approved by both companies’ boards, is subject to regulatory clearances and shareholder approval, with expected closing in early 2027.

Organon, spun off from Merck & Co (known as MSD outside the US and Canada) in 2021, operates across 140 countries with a portfolio of over 70 products spanning women’s health, biosimilars, and general medicines.

This development matters because the acquisition strengthens Sun Pharma’s global footprint and product portfolio, particularly in women’s health and biosimilars. Post-integration, the combined entity is projected to generate approximately $12.4 billion in revenue, placing it among the world’s top 25 pharmaceutical companies. Innovative medicines are expected to account for 27% of the merged entity’s revenues, accelerating Sun Pharma’s push toward higher-value therapeutics. Industries impacted include generic and specialty pharmaceuticals, women’s health, and biosimilars manufacturing.

Regional stakeholders include regulators in the US, India, and other key markets, as well as Organon’s global workforce and distribution partners.

For investors, the deal represents significant execution risk given the scale of cross-border integration, but offers potential upside through expanded commercial scale and pipeline diversification. The acquisition also signals continued appetite for large outbound M&A by Indian pharma majors seeking developed-market platforms.

Sun Pharma is an Indian multinational pharmaceutical company headquartered in Mumbai, specializing in generic and specialty medicines.

Organon & Co is a US-based global healthcare company focused on women’s health and biosimilars, with operations in approximately 140 countries.
