GERMANY; UNITED STATES OF AMERICA —Symrise AG has completed the sale of AmeriTerpenes LLC to Mutares SE & Co. KGaA, transferring ownership of its renewable terpene ingredients operation in the United States. Signing and closing occurred simultaneously, while the financial terms were not disclosed. The transaction follows an operational carve-out that prepared AmeriTerpenes to operate independently under its new owner.
The divestment forms part of Symrise’s broader portfolio management under its ONE Symrise strategy. By exiting the business, the German ingredients group can direct greater management attention and capital toward its core growth platforms. Symrise said the transaction is expected to create a non-cash disposal loss with a mid-double-digit million-euro impact in its 2026 financial statements.
AmeriTerpenes produces renewable terpene ingredients used in fragrance, flavor and industrial applications. Its manufacturing footprint includes facilities in Jacksonville, Florida, and Colonels Island, Georgia, giving Mutares an established U.S. platform in specialty chemicals and materials. The ownership change therefore has relevance for customers and suppliers across the fragrance, flavor, specialty chemicals and industrial formulation markets.
Mutares is positioning AmeriTerpenes as a new platform investment within its Chemicals & Materials segment and as a further expansion of its U.S. presence. For businesses operating in specialty ingredients, the transaction illustrates continued interest from private equity investors in carve-outs where operational separation can create a standalone growth platform.
For Symrise, the strategic implication is a more focused portfolio and continued disciplined capital allocation rather than a complete withdrawal from terpene-related supply chains. Long-term commercial and supply arrangements between Symrise and AmeriTerpenes will maintain access to renewable terpene-based raw materials and preserve continuity for customers. The deal consequently combines portfolio simplification for the seller with a U.S. expansion opportunity for the buyer.
