TTM Technologies has agreed to purchase the Ophir Optics division from MKS Instruments in an all-cash transaction valued at $650 million. The acquisition integrates advanced infrared thermal imaging and laser optics into the portfolio, targeting growth in defense, security, and industrial markets, with closure anticipated in the second quarter of 2027.

UNITED STATES OF AMERICA; ROMANIA —TTM Technologies has entered into a definitive agreement to purchase the Ophir Optics division from MKS Instruments for approximately $650 million in cash. The transaction values the target at an estimated 10.3 times its projected fiscal year 2027 adjusted earnings before interest, taxes, depreciation, and amortization, excluding anticipated synergies. Financing will be sourced from existing cash reserves, projected operational cash flows, and draws on the acquirer’s current revolving credit facility. The deal is slated for completion in the second quarter of 2027, pending standard regulatory clearances and governmental consents.

This strategic move significantly broadens the acquirer’s technological footprint by integrating high-precision infrared thermal imaging and laser optics capabilities. The addition is directly aligned with escalating global demand for advanced surveillance systems and industrial laser applications. By securing these specialized manufacturing assets, the combined entity will be better positioned to supply mission-critical optical components for land, air, maritime, and unmanned defense platforms, addressing a clear market shift toward sophisticated, integrated sensor solutions.

The defense, homeland security, and specialized industrial sectors stand to be the primary beneficiaries of this consolidation. Geographically, the integration of manufacturing facilities located in Israel and Romania enhances supply chain resilience and provides strategic access to European and Middle Eastern defense markets. Stakeholders across the aerospace and advanced manufacturing ecosystems will observe this development as a signal of continued capital deployment toward hardening domestic and allied technological supply chains amid growing geopolitical complexities.

From an investment and strategic perspective, the transaction is projected to be immediately accretive to the acquirer’s adjusted earnings margins and non-GAAP diluted earnings per share. TTM Technologies, a global manufacturer of radio frequency components, advanced interconnect products, and printed circuit boards, leverages this purchase to transition further up the value chain into complete systems solutions. Meanwhile, MKS Instruments, a provider of foundational technology for semiconductor manufacturing and specialty industrial applications, streamlines its operational focus by divesting a non-core asset while retaining its separate laser characterization business and brand rights.
