UNITED STATES OF AMERICA —Regional financial institution Valley National Bancorp has signed a definitive agreement to acquire Bluevine Inc., a digital banking platform focused on small businesses, for total consideration of approximately $340 million. Under the agreement terms, the transaction consideration comprises roughly 75% cash and 25% Valley common stock, subject to customary closing adjustments. The acquisition is projected to close in early 2027, pending standard regulatory approvals and closing conditions, with Bluevine Co-Founder and CEO Eyal Lifshitz joining Valley as Head of Small Business Banking upon completion.
Valley National Bancorp is the regional bank holding company for Valley Bank, operating traditional branch networks and commercial lending services across the United States. Bluevine Inc., established in 2013 and headquartered in Jersey City, New Jersey, is a digital financial services provider serving around 175,000 active small business customers with checking, payment, invoicing, and credit management solutions.
The acquisition strategically targets core deposit expansion and technology modernization for Valley. Bluevine brings $2.1 billion in low-cost, digitally sourced deposits, with roughly 99% originating from non-borrowing operational accounts. Furthermore, the integration incorporates Bluevine's 180 research and development engineers across major technology centers in California, New Jersey, Utah, and Israel, enabling Valley to build proprietary software and artificial intelligence capabilities while reducing dependence on external software vendors.
This transaction highlights an ongoing consolidation trend where traditional regional banks acquire specialized financial technology firms to secure diversified funding sources and modernize digital distribution channels. For commercial banking clients and small business operators, the combination bridges automated digital workflows with physical branch access and enterprise treasury management services. For bank investors, the deal provides an estimated 8% accretion to 2028 earnings per share, with an expected earn-back period of approximately three years following initial tangible book value dilution.
