PHILIPPINES —Vena Energy has agreed to bring Norfund and Impact Fund Denmark into the ownership structure of the 500 MWp Ixus Bugallon Solar Power Project in Bugallon, Pangasinan, Philippines, through the transfer of a combined 49% equity interest. The proposed investment will expand institutional participation in a utility-scale renewable energy asset while Vena Energy retains a long-term ownership and operational role. Completion remains conditional on approval from the Philippine Competition Commission and other customary closing requirements.
The project was selected under the Philippine Department of Energy's second Green Energy Auction Program (GEAP 2), which supports the development of renewable electricity generation. Once operational, the solar facility is expected to produce enough electricity annually to meet the equivalent consumption of approximately 650,000 Philippine households and avoid around 570,000 tonnes of carbon dioxide emissions each year. These projected outcomes position the project as a substantial addition to the country's planned solar generation capacity.
The equity transaction follows the project's financial close in July 2026, when approximately USD 310 million in senior debt was secured from a syndicate of eight international banks. The combination of syndicated lending and institutional equity demonstrates the range of capital sources available to finance large renewable energy developments. For project sponsors, selling a minority stake can release capital for construction commitments and future projects without necessarily relinquishing operational control.
The investment also reflects the role of development finance institutions in mobilising private and institutional capital for energy infrastructure in emerging markets. Norway-based Norfund, through its Climate Investment Fund, focuses on investments that support development and emissions reduction, while Impact Fund Denmark provides investment capital for sustainable development. Their participation links the project to investors with mandates aligned with climate objectives and long-term infrastructure returns.
For the Philippine electricity market, additional utility-scale solar capacity could help diversify generation sources as power demand grows and reduce dependence on coal-fired electricity. Actual emissions reductions and household-equivalent supply will depend on commissioning, generation performance and grid integration. The transaction also offers a reference point for renewable energy developers seeking to combine local market opportunities, international bank financing and long-term institutional investment.
Vena Energy is a renewable energy company developing and operating clean energy assets across the Asia-Pacific region. Norfund is Norway's development finance institution, investing in businesses in developing countries, including through climate-focused investments. Impact Fund Denmark is a Danish development finance institution that invests in projects supporting sustainable development. Their proposed partnership in Ixus Bugallon combines renewable energy development expertise with institutional capital, subject to completion of the agreed transaction.
