VEON has agreed to acquire Rubicon Wireless, operating under the Perfectum brand, for USD 207 million in Uzbekistan. The transaction expands Beeline Uzbekistan's spectrum holdings by 50% through the addition of 115 MHz across key frequency bands, supporting future 5G deployment and fixed wireless expansion.

UZBEKISTAN —Telecommunications operator VEON has reached a definitive agreement to purchase 100 percent of Rubicon Wireless, the mobile network provider trading as Perfectum in Uzbekistan, for a total enterprise valuation of USD 207 million. This total cash consideration encompasses approximately USD 93 million in assumed financial debt and is financed entirely through existing corporate liquidity reserves. The transaction awaits final completion following the receipt of all requisite regulatory clearances.

The strategic rationale centers on absorbing critical spectrum and infrastructure assets to address rising data demand in a growing Central Asian market of nearly 40 million citizens. The acquired target contributes 115 MHz of spectrum spanning the 850 MHz and 3,800 MHz frequency bands, alongside modern physical infrastructure featuring a standalone 5G network built on Nokia architecture. Integrating these resources expands Beeline Uzbekistan's total spectrum portfolio by approximately 50 percent, significantly augmenting network capacity and coverage capabilities.

This market consolidation directly influences the regional telecommunications landscape by altering competitive dynamics and resource distribution among mobile network operators. Enhanced spectrum availability allows accelerated rollout of high-speed broadband, advanced fifth-generation wireless services, and fixed wireless access solutions tailored for residential and corporate segments. Furthermore, infrastructure rationalization is projected to yield operating and capital expenditure efficiencies by combining network footprints.

For corporate stakeholders, investors, and regional market participants, the transaction underscores the ongoing consolidation trend within emerging digital economies. VEON operates as a global digital operator providing connectivity and digital services across multiple international markets, while Beeline Uzbekistan functions as its established operating subsidiary in the country. The deployment of additional spectrum resources strengthens the enterprise position in a core growth market, facilitating scalable expansion in digital and financial service offerings.
