Vijaya Diagnostic Centre Limited has entered into a Business Transfer Agreement to acquire a 100% stake in Guwahati-based Arya Wellness Centre for INR 460 million. The all-cash slump sale deal establishes Vijaya's operating foothold in Northeast India, enhancing its B2C-focused integrated diagnostic footprint.

INDIA Vijaya Diagnostic Centre Limited has agreed to acquire full ownership of Arya Wellness Centre, an integrated diagnostic facility based in Guwahati, Assam, for INR 460 million. The transaction, executed through a Business Transfer Agreement on a slump sale basis, transfers the operating assets from NEMRIL HRPL JV. Expected to close within three months subject to standard conditions precedent, the deal marks the healthcare chain's initial expansion into the diagnostic market of Northeast India.

The strategic acquisition extends Vijaya Diagnostic's footprint beyond its primary markets in Telangana, Andhra Pradesh, and West Bengal, utilizing Guwahati as a hub for the broader region. Northeast India represents a growing market for organized healthcare infrastructure, with patient inflows driven by demand for advanced clinical investigations. By establishing a direct operational presence along Guwahati's key medical corridor, Vijaya positioning itself to capture regional demand for dual radiology and pathology offerings.

Consolidation within the Indian diagnostic sector continues to accelerate as larger corporate entities absorb independent and regional diagnostic centers to drive network volume and operational scale. The integration of high-margin B2C diagnostics aligns with industry-wide shifts toward comprehensive 'all-under-one-roof' diagnostic delivery. Healthcare investors and diagnostic chains are increasingly targeting tier-two commercial hubs across India to expand referral pipelines and capitalize on under-penetrated regional healthcare markets.

For Vijaya Diagnostic, the addition provides an immediate revenue-generating asset that generated INR 260 million in operational revenue for FY26, alongside an EBITDA of INR 56 million and net profit of INR 25 million. With over 85 percent of sales originating from direct-to-consumer patients, the target asset reinforces Vijaya's capital allocation strategy focused on cash-accretive regional plays. The expansion establishes a regional platform from which Vijaya can launch additional satellite collection centers across Assam and adjoining northeastern states.

Headquartered in Hyderabad, Vijaya Diagnostic Centre Limited is one of India's largest integrated diagnostic networks, operating over 160 diagnostic centers and 27 reference laboratories across multiple states. Founded in 2021 as a joint venture, Arya Wellness Centre provides comprehensive pathology and specialized radiology services in Guwahati, Assam.
